Terms of Service

1. Agreement and Contracting Party

These Terms are a legal agreement between you and EZDZ Waiver. EZDZ Waiver may assign these Terms to a successor or future legal entity as permitted by law.

If you use the service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" includes both you and that entity.

2. Eligibility and Accounts

You must provide accurate account information, maintain account security, and are responsible for activity under your account and API keys.

You must promptly notify us of unauthorized use, compromised credentials, or suspected security incidents involving your account.

3. Service Description

EZDZ Waiver provides digital waiver workflows, storage, API/webhook tooling, and related features. EZDZ Waiver does not provide legal advice.

You are solely responsible for your legal documents, waiver wording, and legal strategy. You should consult qualified counsel for legal drafting and compliance questions.

4. Customer Responsibilities

You are responsible for waiver content, legal sufficiency, lawful processing of signer data, and obtaining any required consents. For minors, you are responsible for verifying parent/legal guardian authority and compliance with applicable law.

You are also responsible for complying with all laws applicable to your operations, including consumer, privacy, biometric/e-signature, and recordkeeping requirements in your jurisdictions.

5. Acceptable Use

You may not use the service for unlawful activity, rights violations, abuse, malicious traffic, unauthorized security testing, or attempts to bypass limits or controls.

You may not upload malware, interfere with service integrity, reverse engineer restricted components, or use the platform to collect data without a lawful basis.

6. Third-Party Services

The service integrates with third-party providers including payment processors, email providers, analytics tools, and customer-configured webhook endpoints. Their terms and policies apply to their services.

You are responsible for configuring third-party endpoints and credentials securely, and for your use of third-party services such as SMTP providers or receiving systems for webhooks.

7. Data and Content Ownership

As between the parties, you retain ownership of your waiver templates, signer records, and other customer content. You grant us a limited license to host, process, and transmit that content solely to provide and secure the service.

8. Billing, Trials, and Refunds

Paid plans renew by billing cycle until canceled. You may cancel for the next renewal period. Except where required by law, fees are non-refundable and we do not provide prorated refunds.

Trial availability, feature limits, and pricing tiers may vary over time. You authorize charges through the selected payment processor for your active subscription and usage under your plan terms.

9. Suspension and Termination

We may suspend or terminate access for security risk, abuse, unlawful use, nonpayment, or material breach.

We may also suspend service to protect platform integrity, investigate suspected misuse, or comply with legal requests and court orders.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZDZ WAIVER DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted availability, specific uptime levels, or that the service will meet all legal requirements of your use case.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZDZ WAIVER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZDZ WAIVER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

12. Indemnification

You will defend and indemnify EZDZ Waiver from claims arising out of your content, your misuse of the service, or your violation of law or third-party rights.

13. Arbitration and Class Action Waiver

Disputes will be resolved by binding individual arbitration, except where prohibited by law or where injunctive relief is sought for misuse of intellectual property or security violations. You waive the right to participate in class actions and jury trials.

Arbitration will be conducted on an individual basis under commercially reasonable rules selected by EZDZ Waiver, consistent with applicable law. Class and representative proceedings are not permitted.

14. Governing Law

These Terms are governed by the laws of Arizona, without regard to conflict of law rules, except where superseded by applicable law.

15. Modifications to Service or Terms

We may update these Terms. Continued use after an effective update constitutes acceptance of the revised Terms.

We may add, remove, or modify features at any time. We may also set or revise usage limits, plan packaging, and security controls.

16. Export, Compliance, and Sanctions

You agree not to use the service in violation of export controls, sanctions restrictions, or other applicable trade laws.

17. Miscellaneous

If any provision is unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between the parties regarding the service and supersede prior understandings on this subject.
